These Terms & Conditions ("Terms") govern your access to and use of all software applications, websites, and services provided by Venditech LLC ("Venditech", "we", "us", or "our"), including but not limited to SnapVowz, SnapRockz, SnapGamez, Gig Finder Pro, Eventra, CrowdsetZ, and Witzend Entertainment (each an "App", and collectively the "Apps"). By purchasing, accessing, or using any of the Apps, you agree to be bound by these Terms. These Terms apply uniformly across every Venditech App, even though each App is purchased separately.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a legally binding agreement to purchase or use the Apps. By using the Apps you represent and warrant that you meet these requirements.
2. Purchases & Payments
Payments for the Apps are processed by our merchant of record, Paddle.com Market Limited ("Paddle"), which acts as the seller on the transaction, handles billing, and remits applicable taxes. Your purchase is also subject to Paddle's Buyer Terms. All prices are displayed at checkout in your local currency where supported.
Each App is sold separately. Purchasing one App does not grant access to any other App. Your license is non-transferable, non-exclusive, and limited to the App you purchased.
3. License Grant
Subject to your compliance with these Terms and payment of applicable fees, Venditech grants you a limited, revocable, non-exclusive, non-transferable license to access and use the purchased App for your personal or internal business purposes.
4. Acceptable Use
You agree not to:
- Reverse-engineer, decompile, or attempt to extract the source code of any App;
- Resell, sublicense, rent, or redistribute access to any App;
- Use the Apps to upload unlawful, infringing, harmful, or harassing content;
- Interfere with or disrupt the integrity or performance of the Apps;
- Attempt to gain unauthorized access to any account, system, or data.
5. User Content
Some Apps allow you to upload photos, vows, or other content ("User Content"). You retain ownership of your User Content. You grant Venditech a worldwide, non-exclusive, royalty-free license to host, store, and display your User Content solely as needed to operate the App. You are solely responsible for your User Content and the rights you have to share it.
6. Intellectual Property
All right, title, and interest in and to the Apps (excluding User Content) are owned by Venditech and its licensors. No rights are granted to you other than those expressly set out in these Terms.
7. Refunds
Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference and applies to every Venditech App.
8. Termination
We may suspend or terminate your access to any App at any time if you breach these Terms. Upon termination, your license to use the affected App ends immediately.
9. Disclaimers
The Apps are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Venditech does not warrant that the Apps will be uninterrupted, error-free, or secure.
10. Limitation of Liability
To the maximum extent permitted by law, Venditech's total liability for any claim arising out of or relating to the Apps shall not exceed the amount you paid for the specific App giving rise to the claim in the twelve (12) months preceding the event. In no event shall Venditech be liable for indirect, incidental, special, consequential, or punitive damages.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via the Apps or website. Your continued use of any App after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of the State of Rhode Island, USA, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Rhode Island for any dispute arising from these Terms.
